GENERAL COUNSEL & CORPORATE LEGAL ADVISOR

Our client is a Canadian company – world leader in design, production and logistics of children playground facilities. Due to the growing of their business in Bulgaria we are looking for a professional on the role of:

GENERAL COUNSEL & CORPORATE LEGAL ADVISOR

The person will report to the Chief Financial Officer of the company, based in Canada.

Overview of the role:

  • Review of all major contracts
  • Be the primary contact with Group’s external law firms in Bulgaria, Italy, Canada, USA and Philippines
  • Work with Group’s insurers in Canada and Bulgaria (policies include: property and business interruption, directors & officers, commercial general liability, etc.)
  • Be the primary contact for external claims adjusters and law firms appointed by Group’s insurers to deal with injury claims
  • Work with operations and external counsel/vendors on patents & trademark registrations & protection
  • Assist Group’s accounting department with Merger & Acquisition activities (legal due diligence, incorporation of entities, divestitures, etc.)
  • Attend Group’s board meetings (by conference call) and take on the role of Corporate Secretary – coordinate Board & Committee Meetings, prepare Minutes of Meetings
  • Assist CFO & the Board of Directors with various risk management and corporate governance matters
  • Assist CFO with various public disclosure documents (MD&A, information circulars, material change reports, news releases, continuous disclosure filings)
  • Assist CFO with coordinating Annual and Special General Shareholders’ meetings
  • Look after corporate maintenance filings with various registry services for Group’s subsidiaries in Bulgaria, Canada, Italy, USA and Philippines.

Requirements:

  • University education & professional designation as a lawyer
  • At least 7 years of professional experience in corporate law
  • Excellent level of English – both written and verbal
  • In-depth experience with EU commercial law
  • Experience with injury claims/litigation; Patents and trademark registrations
  • Ability to travel internationally, especially to Head Office in Canada
